1. Agreement to Terms

By accessing or using the Silvergrove website (silvergrove.in) or our Intelligent Document Processing (IDP) platform ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Silvergrove provides an AI-powered document processing platform that enables automated extraction, validation, and triage of structured and unstructured documents. Our Services include document upload and processing, field extraction, confidence scoring, cross-document validation, verdict generation, audit trail logging, and related analytics.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. Our Services are designed for business use. By using the Services, you confirm that you are acting in a professional or commercial capacity.

4. Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You agree to notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to use our Services to:

• Upload documents you do not have the legal right to process.
• Process documents for any unlawful purpose, including fraud, identity theft, or money laundering.
• Attempt to reverse-engineer, decompile, or extract the source code or underlying models of our platform.
• Interfere with the security or performance of the Services.
• Resell, sublicense, or redistribute the Services without written consent.
• Exceed usage limits or circumvent rate limiting mechanisms.

6. Document Ownership & Licensing

You retain all ownership rights to the documents you upload and the data extracted from them. By uploading documents, you grant Silvergrove a limited, non-exclusive license to process those documents solely for the purpose of delivering the Services.

We do not claim ownership of your documents or extracted data. We do not use your documents to train AI models. Processed results are available exclusively to you and authorized users within your organization.

7. Intellectual Property

The Silvergrove platform, including its design, software, algorithms, models, documentation, and branding, is the intellectual property of Silvergrove and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property beyond the limited right to use the Services as described herein.

8. Service Availability & SLA

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Specific uptime guarantees, if applicable, are defined in your separate service agreement or subscription terms.

9. AI Processing Disclaimer

Our Services use artificial intelligence for document extraction and validation. You acknowledge that:

• AI-generated results, including extraction outputs, confidence scores, and verdicts, are provided as decision-support tools and should not be treated as infallible.
• You are responsible for reviewing flagged documents and making final decisions based on the extracted data.
• Silvergrove is not liable for business decisions made based solely on automated outputs without human review.

10. Fees & Payment

Pricing and payment terms are defined in your service agreement or subscription plan. All fees are exclusive of applicable taxes unless stated otherwise. We reserve the right to modify pricing with 30 days' written notice. Failure to pay may result in suspension or termination of access.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Silvergrove shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services. Our total liability for any claims arising under these Terms shall not exceed the amount paid by you to Silvergrove in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Silvergrove, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights, including intellectual property or privacy rights.

13. Termination

Either party may terminate these Terms with 30 days' written notice. We may immediately terminate or suspend your access if you breach these Terms. Upon termination, your right to use the Services ceases immediately. We will make your data available for export for 30 days following termination, after which it may be permanently deleted.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Services after changes constitutes acceptance of the updated Terms.
